1. Agreement
These Terms of Service ("Terms") govern access to and use of the Nexus T&D cloud platform (the "Service"), including supplier document upload, invoice OCR, expenses, general ledger, management reports, accounts receivable, inventory, payroll (where included in your plan), and related features. By signing in or using the Service, you agree to these Terms on behalf of yourself and the organization you represent.

- Sign-in is provided through Google OAuth. You must use the email address invited to your organization.
- Organizations are separate tenants. Data in one organization is not visible to users of another unless they are explicitly members of both.
- Roles (such as Manager, Accountant, Admin, and Member) control what each user may view or change. Your organization administrator is responsible for assigning appropriate roles.
- You are responsible for keeping your Google account secure and for all activity under your login.
Description
The Service is sold per organization (not per user seat). Plans differ by which modules are enabled (for example documents-only, core bookkeeping, inventory, or payroll). List prices, included OCR allowances, and trial rules are shown on the Billing page inside Nexus T&D and may change with notice.
- A trial may start when the first active Manager signs in. Trial module access follows your organization's business category unless a different catalog plan is assigned for testing by an administrator.
- Paid activation typically requires bank transfer and proof of payment recorded by your organization's Manager; an operator may confirm payment in the administration console.
- Optional add-ons (such as Korean UI or OCR top-up packs) are described at purchase and on Billing.
- If a trial ends without a paid plan, access to operational modules may be restricted until billing is completed.
4. Acceptable use
You agree to use the Service only for lawful business purposes. You must not:
- Upload content you do not have the right to process, or that violates applicable law.
- Attempt to probe, scan, or compromise the security or availability of the Service.
- Misuse OCR, API, or automation features to exceed fair use or documented limits.
- Resell or sublicense the Service except as expressly permitted in writing by us.
5. AI and OCR
Invoice and document extraction uses automated models. Results are assistive only. You remain responsible for reviewing extracted amounts, line items, tax fields, and inventory mappings before approval, posting to ledger, or tax filing. We do not guarantee that OCR output is complete or error-free.
Liability
We provide the Service on a commercially reasonable basis. Planned maintenance, infrastructure failures, or third-party outages may cause temporary unavailability. We will try to restore service promptly but do not guarantee uninterrupted access.
7. Limitation of liability
To the maximum extent permitted by applicable law, the Service is provided "as is." We are not liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, or business opportunity. Our aggregate liability for claims relating to the Service in any twelve-month period is limited to the fees you paid for that organization in the same period (or zero if you are on a free trial).
8. Governing law
These Terms are governed by the laws of Vietnam, without regard to conflict-of-law rules. Disputes shall be subject to the competent courts in Vietnam, unless mandatory consumer protection rules require otherwise.
9. Changes and contact
